Hindalco ends $125 million AluChem deal after prolonged closing delays

Hindalco Industries has terminated its proposed USD 125 million acquisition of US-based speciality alumina producer AluChem Companies after extended delays in closing the transaction. The decision ends a deal announced in June 2025, although Hindalco says its speciality alumina expansion strategy remains firmly in place.
Hindalco Industries has called off its proposed acquisition of AluChem Companies Inc., bringing an end to its planned USD 125 million entry into the US-based speciality alumina producer.
The Aditya Birla Group's metals flagship and AluChem have jointly decided to terminate the Equity Purchase Agreement (EPA) following prolonged delays in completing the transaction. According to Hindalco's regulatory filing, the delays were beyond the control of either party.
"The proposed acquisition of AluChem Companies, Inc (AlucChem), and its speciality calcined and tabular alumina business, AluChem and the Company, after due consideration, have jointly decided to terminate the Equity Purchase Agreement due to extended closure delays beyond the control of either party."
The acquisition, announced in June 2025, was structured through Aditya Holdings LLC, a step-down wholly owned subsidiary of Hindalco. The transaction involved the proposed acquisition of AluChem and its speciality calcined and tabular alumina business for an enterprise value of USD 125 million, subject to customary closing conditions and regulatory approvals.

Hindalco's speciality alumina ambitions remain unchanged
Despite the termination, Hindalco said the strategic rationale behind expanding its speciality alumina portfolio remains intact.
The company said its strategy of expanding high-value, technology-led value-added products (VAP) in speciality alumina remains unchanged and that it will continue to evaluate opportunities, including in the United States, in line with this strategy.
Hindalco currently operates around 500,000 tonnes of speciality alumina capacity and is targeting 1 million tonnes by FY30. The company is also India's leading producer of speciality alumina, manufacturing more than 120 grades of non-metallurgical speciality alumina.
Its speciality alumina portfolio serves a broad range of applications, including refractories, ceramics, wire and cable, railways, batteries and electronics, water treatment and bulk chemicals. The planned AluChem acquisition was therefore positioned as part of Hindalco's wider push towards higher-value, technology-led materials and downstream products.
AluChem to continue independently
With the transaction now terminated, AluChem will continue operating independently and serving customers across the speciality alumina value chain.
The US company has been active in the speciality alumina industry for 48 years, according to the regulatory disclosure.
AluChem manufactures speciality alumina products, including calcined and tabular grades, for industrial applications. Its operations and customer base would have provided Hindalco with an established presence in the North American speciality alumina market had the acquisition been completed.

A deal that remained pending for more than a year
Hindalco first announced the proposed acquisition on 24 June 2025, describing it as a strategic move to strengthen its high-value, technology-led materials portfolio.
At the time, the company said the transaction would give it access to premium speciality alumina grades and strengthen its presence in North America. Hindalco had also stated that it operated around 500,000 tonnes of speciality alumina capacity and intended to scale this to 1 million tonnes by FY30.
The transaction subsequently remained subject to the required closing conditions and regulatory approvals. After more than a year of updates around the proposed transaction, the prolonged delay ultimately led both parties to terminate the agreement.
The termination does not, however, bifurcate indication of a withdrawal from speciality alumina for Hindalco. Instead, the company has reiterated that it will continue assessing opportunities, including in the US, as it pursues its downstream and value-added growth strategy.
