Automotive aluminium in spotlight as Wetzel acquires Martinrea Honsel Brasil

Wetzel SA, through its wholly owned subsidiary Wetzel Investimentos e Participações, has acquired 100 per cent of Martinrea Honsel Brasil, strengthening its presence in aluminium automotive components. Based in Monte Mor, São Paulo, the acquired company specialises in high-complexity aluminium parts and components supplied to automotive system manufacturers and OEM assemblers.

Martinrea Honsel Brasil will continue operating as a separate limited liability company under a new corporate name once the required corporate procedures are completed.

Acquisition strengthens aluminium capabilities

Wetzel’s management considers the transaction strategically positive, citing potential operational synergies between its existing aluminium expertise and Martinrea Honsel Brasil’s industrial capacity and technical know-how.

The company expects the acquisition to support its long-term development and value creation, while potentially strengthening its position in the automotive supply chain and creating value for shareholders and other stakeholders.

Board authorises the acquisition process

Wetzel’s board had authorised its controlled subsidiary to pursue the acquisition of the equity interests in Martinrea Honsel Brasil from 2244760 Ontario Inc. Management was also authorised to negotiate the terms, execute definitive agreements and complete the closing process within the company’s internal approval limits.

Any binding agreements were subject to maintaining the principal terms presented to the board, while confidentiality was to be maintained until closing.

The board also decided not to disclose the material fact at that stage. Publication would be required upon completion of the transaction or earlier in the event of information leakage, unusual trading activity or a legal obligation.

Automotive aluminium remains in focus

The acquisition adds another aluminium-focused automotive operation to Wetzel’s portfolio. The company has previously identified automotive aluminium components as an area for business expansion and has highlighted new businesses and strategic partnerships as part of its growth approach.

With Martinrea Honsel Brasil’s capabilities in complex aluminium components, the transaction allows Wetzel to combine its existing expertise with the acquired company’s manufacturing capacity.
