Sampat Aluminium shareholders approve four resolutions with 100% votes at 27th AGM

Sampat Aluminium shareholders unanimously approved the company’s FY26 financial statements and three other resolutions at its 27th Annual General Meeting held on September 26, 2026.

Sampat Aluminium Limited passed all four ordinary resolutions at its 27th AGM, with 54,69,800 votes cast in favour and no votes against. The meeting was held through video conferencing, while remote e-voting was available from September 23 to September 25, 2026.

The resolutions covered the adoption of the company’s audited standalone financial statements for the financial year ended March 31, 2026, the reappointment of Sanket Sanjay Deora as Managing Director, the appointment of M/s Utkarsh Shah & Co. as Secretarial Auditor, and the ratification of remuneration for the Cost Auditors for FY27.

All four resolutions receive unanimous approval

Shareholders approved the audited standalone financial statements for FY26, together with the Board and Auditor reports.

Deora was also reappointed as Managing Director after retiring by rotation and offering himself for re-election. The remaining resolutions covered the appointment of M/s Utkarsh Shah & Co. as Secretarial Auditor and ratification of Cost Auditor remuneration for the financial year ending March 31, 2027. The voting process was scrutinised by Utkarsh Shah & Co.

Promoters account for majority of votes polled

Sampat Aluminium had 84,81,100 outstanding equity shares, of which 54,69,800 shares, or 64.49 per cent, were voted during the AGM process.

The promoter and promoter group held 54,00,000 shares and exercised 100 per cent of their voting rights, with all 54,00,000 votes cast in favour of the resolutions.

Public non-institutional shareholders held 24,41,700 shares and polled 69,800 votes, representing 2.86 per cent participation. All of these votes were also cast in favour.

Meanwhile, public institutional shareholders held 6,39,400 shares but recorded zero votes during the voting process.

Overall, the promoter group accounted for approximately 98.7 per cent of the votes polled, while the remaining votes came from public non-institutional shareholders.

Six shareholders attended the AGM through video conferencing, including five members of the promoter group and one public shareholder. No physical attendance was recorded.

The unanimous voting outcome clears all four resolutions placed before shareholders at Sampat Aluminium’s 27th AGM, including the continuation of Deora as Managing Director and the company’s key audit-related appointments.
