Five years after taking control of Metra, KPS Capital Partners is preparing to hand over the aluminium extrusion company to Poland’s Grupa Kęty in a deal valued at EUR 645 million (USD745 million).

The transaction, which is expected to close in the first quarter of 2027 pending customary approvals, will bring Metra under the ownership of a Warsaw-listed industrial group with an established presence in aluminium extrusion, architectural and sun protection systems, and flexible packaging.

For Metra, the deal comes after a period of expansion under KPS. The private equity firm acquired the company in July 2021 and used the following five years to reshape the business through acquisitions, capacity investments and expansion into new markets.

During KPS ownership, Metra completed five add-on acquisitions and invested in new press capacity. The company also expanded into high-growth areas, including rail and energy distribution, as it developed its position as a vertically integrated producer of extruded aluminium profiles.

That transformation has helped position Metra for its next phase under Grupa Kęty, which sees the acquisition as a way to increase its scale and extend its reach beyond its existing operations.

“This combination will provide additional scale, technical depth, value-added services capabilities and a broader global footprint,” said Enrico Zampedri, Metra’s chief executive officer.

Headquartered in Rodengo Saiano, Italy, Metra operates nine manufacturing facilities across Europe and North America and employs roughly 1,400 people. Its extruded aluminium profiles serve rail, industrial, and building and construction markets.

For Grupa Kęty, bringing Metra into the group adds another substantial extrusion platform while widening its global manufacturing footprint.

The transaction also represents the completion of KPS’ investment in a business it built through a combination of bolt-on acquisitions and targeted capacity expansion.

Pierre de Villeméjane, a partner and co-head of KPS Mid-Cap Investments, described the sale as an example of the firm’s investment approach of “seeing value where others do not, buying right and making businesses better.”

He also credited Metra’s leadership for the “significant value creation” achieved during KPS ownership.

With the planned sale, KPS is set to exit the industrial platform it developed over five years, while Grupa Kęty moves to expand its position in the global aluminium extrusion market through greater scale, technical capabilities, value-added services and a broader geographic presence.
