Terms & Conditions

• “AL Circle”, “we”, “us” or “our” means AL Circle Pvt. Ltd. and, where the context requires, its parent, subsidiaries, affiliates and group companies.
• “You” or “your” means any individual, company, partnership, limited liability partnership, sole proprietorship, association, organisation or other legal entity that accesses, registers for, or otherwise uses the Platform.
• “AL Circle Account” or “Account” means the single unified account created through our sign-on system that grants you access to AL News, AL Biz, AL Learn and any other Products offered on the Platform.
• “Products” means the distinct offerings made available on the Platform, including AL News (industry news, prices, reports, e-magazines and related editorial content), AL Biz (the B2B marketplace, business leads, company listings and related services) and AL Learn (learning and training content), each as may be updated or renamed from time to time.
• “Content” means all content made available by AL Circle through the Platform, including trademarks, source code, pages, documents, graphics, audio, video, data, listings, reports and user-submitted materials.
• “User Content” means any Content that you submit, upload, post, publish or transmit through the Platform.
• Headings are for convenience only and do not affect the interpretation of these Terms. Words in the singular include the plural and vice versa.

• Access to AL News, AL Biz and AL Learn is provided through a single AL Circle Account. Subject to eligibility and any applicable subscription requirements, when you register for, or sign in to, any one Product, you are registering for and may be granted access to all Products available on the Platform under the same Account, so that you enjoy seamless access across the AL Circle ecosystem.
• By creating an Account, you acknowledge that your single AL Circle Account provides access across the current and future Products and web portals made available by AL Circle through the Platform, subject to applicable subscription requirements, Product-specific eligibility criteria and any additional terms applicable to such Products or web portals. A single set of login credentials will authenticate you across the Platform.
• You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to notify us immediately of any unauthorised use of your Account or any other breach of security.
• You must provide accurate, current and complete information during registration and keep such information updated. We may suspend or terminate your Account if any information is found to be inaccurate, misleading or incomplete.
• You may sign in using third-party credentials (such as Google, LinkedIn, Facebook or others). Your use of such sign-in methods is also subject to the terms and privacy policies of the relevant third-party provider, over which we have no control. We are not responsible for the availability, security or performance of such third-party authentication.
• Certain features, Content or areas within a Product may require additional registration, verification (for example, verified buyer/seller status on AL Biz), or a paid subscription. Access to such features is subject to any additional terms notified to you at the relevant time.
• You must not circumvent or attempt to circumvent user authentication or the security measures of the Platform, access data or accounts not intended for you, test or probe the vulnerability of the Platform without our prior written authorisation, or log into an Account you are not authorised to access.

• Your access to and/or use of any part of the Platform is deemed to be an acceptance of these Terms and the Privacy Policy.
• We may revise or amend these Terms at any time by posting the amended Terms on the Platform. AL Circle shall not be obliged to provide individual notice of such changes. Material amendments shall become effective upon publication on the Platform or such later date as may be specified in the notice. Your continued use of the Platform after any amendment signifies your acceptance of the Terms then in force.
• You are expected to refer to these Terms from time to time and keep yourself informed and up to date. The Terms may change over time based on legal requirements or the business priorities of AL Circle.

• All materials and Content on the Platform are protected by applicable intellectual property laws. Save for User Content (the intellectual property rights in which are owned by the user who uploaded it), all rights in the Platform and its Content are owned by or licensed to AL Circle.
• The AL Circle, AL News, AL Biz and AL Learn names, logos and marks are trademarks of AL Circle. Nothing in these Terms grants you any licence and/or right to use them without our prior written consent. Except for the limited rights expressly granted under these Terms, no licence or other right in any intellectual property is granted by implication, estoppel or otherwise.

1. You agree that you shall not:
   • except as permitted under applicable law, modify, adapt, translate, decompile, alter or create derivative works from any Content, or copy, reproduce, republish, upload, post, transmit, distribute or otherwise communicate or cause to be displayed to the public any Content without our prior written permission;
   • interfere or attempt to interfere with the Service, including by deliberately overloading the Service, “flooding” networks, attempting to crash the Platform, or imposing an unreasonable or disproportionately large load on the Service or its infrastructure;
   • use any program, script, command or application, or send messages of any kind, designed to interfere with any user’s terminal session or with the operation of the Platform;
   • upload files that would corrupt, contain viruses, or any other similar software or programs that would damage the Platform or interfere with the Service;
   • publish, post, transmit, upload or maintain any objectionable material, or any material in violation of any statute, rule or regulation in any jurisdiction to which you are subject;
   • use the Platform, including AL Biz marketplace features, for any fraudulent, unlawful or misleading purpose, or to post inaccurate product, service, pricing or company information; or
   • use any robot, spider, scraper, crawler or other automated means to access, extract, harvest or index Content — including news articles, pricing data, reports or company listings — for any purpose, including training, fine-tuning or evaluating any artificial intelligence, large language model, generative AI or machine learning model, without our prior written permission.
2. We reserve the right to monitor usage of the Platform by any person and, where reasonably necessary and at our sole discretion, to refuse access or use by any person at any time without having to give any reason or prior notice. Sanctions and Export Control Compliance: You represent and warrant that neither you, nor the organization you represent, nor any of your affiliates, directors, or officers, are: (a) subject to, or the target of, any economic or financial sanctions or trade embargoes administered or enforced by the United Nations Security Council, the U.S. government (including the Office of Foreign Assets Control – OFAC and the Department of State), the European Union, the United Kingdom, or the government of India (collectively, “Sanctions”); or (b) located, organized, or resident in a country or territory that is the subject of comprehensive territorial Sanctions. You agree that you shall not directly or indirectly use the Platform, nor allow any third party to use it, in any manner that would cause AL Circle to violate any applicable Sanctions or export control laws.

• AL Biz is a B2B marketplace that facilitates connections between buyers and sellers across the aluminium value chain. AL Circle is not a party to any transaction, negotiation, contract or dealing entered into between users and does not guarantee the quality, safety, legality or accuracy of any listing, product, service, business lead or company information posted on the Platform. AL Circle does not act as an agent, broker, dealer, distributor or representative of any user unless expressly agreed in writing.
• Any dealings, transactions, or reliance on listings or leads are solely between the relevant users, at their own risk. You are responsible for conducting your own due diligence before entering into any transaction with another user.
• AL Circle does not independently verify the identity, authority, financial standing, licences, regulatory compliance, product quality or existence of any user, supplier, buyer or listing unless expressly stated. Users are solely responsible for conducting their own due diligence before entering into any transaction.
• We do not endorse any Content, listing, opinion, recommendation or advice submitted by any user, and we expressly disclaim all liability in connection with the same.
• You shall not use the Platform, including AL Biz listings, leads or communications, to offer, solicit, negotiate or facilitate any transaction that would violate applicable export control, import control, or sanctions laws, including those relating to the sourcing or trade of aluminium or aluminium products originating from sanctioned entities or jurisdictions.
• We reserve the right to remove any listing, lead, Account or User Content, and to refuse or suspend access, where we reasonably believe it relates to a party or transaction described above, without liability to you.
• You represent and warrant that you are not, and are not owned or controlled by, a person or entity that is (a) listed on any restricted, denied or sanctioned party list maintained by the United Nations, the European Union, the United States (including OFAC’s SDN List), the United Kingdom, or any other applicable authority; or (b) organised, located, or resident in a country or territory subject to comprehensive sanctions.

• The Platform may contain hyperlinks to websites not maintained by us. Use of, and access to, such hyperlinks and hyperlinked websites is entirely at your own risk.
• All hyperlinks are provided for your convenience only. We do not approve, endorse or accept any responsibility for any hyperlinked website or its content, and inclusion of any link does not imply endorsement or association with its operator. We do not operate, control or endorse any information, products or services provided by third parties.

• We use available technology to protect the security of communications made through the Platform, wherever appropriate. However, we do not accept liability for the security, authenticity, integrity or confidentiality of any transactions or other communications made through the Platform.
• Internet communications may be susceptible to interference or interception by third parties. Despite our best efforts, we make no warranty that the Platform is free from infection by any virus or other unauthorised software.
• While AL Circle implements commercially reasonable technical and organisational measures to protect the Platform and user data, no method of electronic transmission, communication, storage or processing of information is completely secure. Accordingly, AL Circle does not warrant or guarantee that the Platform or any information transmitted through or stored on the Platform will be completely secure or free from unauthorised access, interception, alteration or loss.

• No guarantee of confidentiality is accorded in respect of User Content submitted by any Account holder.
• You retain all ownership rights in your User Content. However, by submitting User Content to the Platform, you grant AL Circle a worldwide, non-exclusive, royalty-free, sub-licensable and transferable licence to use, reproduce, distribute, prepare derivative works of, display, publish, adapt, make available online or electronically transmit, and perform the User Content in connection with the Service and the business of AL Circle (and its successors and affiliates), including for promoting and redistributing part or all of the Service in any media formats. You also grant each user of the Service a non-exclusive licence to access your User Content through the Service and to use it as permitted through the functionality of the Service and under these Terms.
• The licences granted above in respect of your User Content shall terminate within a commercially reasonable time after you remove or delete such User Content from the Service, except that AL Circle may retain (but not distribute, display or perform) server copies of removed or deleted User Content. Licences granted in user comments you submit are perpetual and irrevocable.
• You agree that your User Content will not contain third-party copyrighted material or material subject to other third-party proprietary rights, unless you have permission from the rightful owner or are otherwise legally entitled to post it and to grant the licences set out above.
• We do not permit copyright-infringing activity or infringement of intellectual property rights on the Platform, and we will remove User Content if properly notified that it infringes another’s rights. We reserve the right to remove User Content without prior notice.
• Intellectual Property Infringement & Takedown Notices: If you believe that any Content or material hosted on the Platform infringes your copyright or trademark rights, you may submit a formal notification to our Designated Intellectual Property Agent at ip@alcircle.com containing the following information in writing:
  • A physical or electronic signature of a person authorized to act on behalf of the owner of the right that is allegedly infringed;
  • Identification of the copyrighted work or trademark claimed to have been infringed;
  • Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material on the Platform (including specific URLs);
  • Your contact details, including an address, telephone number, and email address;
  • A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the rights owner, its agent, or the law; and
  • A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of the exclusive right that is allegedly infringed.
• We reserve the right to remove any User Content without prior notice.

• Certain Content and features across the Products are made available on a paid subscription or one-time purchase basis. Applicable fees, billing cycles and access terms will be presented to you at the point of purchase.
• Refund and Cancellation Policy. AL Circle Pvt. Ltd. is committed to providing extensive assistance to its customers and upholds a lenient cancellation and refund policy, within the following framework:
  • (a) No cancellation after payment: Once payment is successfully made, no cancellations are available. Please review your order carefully before making payment.
  • (b) Double-payment refund: If your account is charged twice for the same transaction and this is reflected in the company’s bank statements, you are eligible for a refund of the duplicate amount.
  • (c) Refund timeline: Refunds of double payments will be processed within 10 (ten) days from the date of verification, credited to the source account.
  • (d) Verification process: Our team will verify the transaction and initiate the refund accordingly.
  • (e) Cancellation disclaimer: Any request for cancellation or refund other than for double payments will not be entertained once payment is successfully processed. Nothing in this Clause shall affect any non-excludable statutory rights available to users under applicable law.

• The Platform, including all Content, goods and services described in or made available through it, is provided on an “as is” and “as available” basis, and you use it at your own risk.
• To the extent permitted by law, we expressly disclaim all warranties, whether express, implied, statutory or otherwise, including any warranties as to the accuracy, completeness, currency or reliability of any Content; of merchantability, satisfactory quality, fitness for any purpose, or non-infringement; as to the security, authenticity, integrity or confidentiality of any transactions or communications; and that the Platform or Content will be uninterrupted, error-free or free of harmful components. AL Circle does not warrant that the Platform or any Product will be uninterrupted, continuously available, secure or error-free at all times.

• AL Circle Pvt. Ltd., and its parent organisations, subsidiaries, affiliates, officers, directors, shareholders, employees and agents, shall not be liable, under any circumstances or legal theory whatsoever, for any loss of business, profits or goodwill, loss of use or data, interruption of business, or for any indirect, special, incidental or consequential damages of any character – even if we are aware of the risk of such damage – that result in any way from your use of, or inability to access, the Platform or the Service, or that result from errors, defects, omissions, delays in operation or transmission, or any other failure of performance of the Platform or any Service.
• To the maximum extent permitted by applicable law, AL Circle’s aggregate liability arising out of or in connection with the Platform, the Service or these Terms shall not exceed the total fees actually paid by the User to AL Circle under the relevant Product or Service during the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in these Terms shall exclude or limit liability for fraud, wilful misconduct or any liability that cannot be excluded or limited under applicable law.
• We shall not be liable for any failure or delay in performance of the Service resulting from causes beyond our reasonable control, including acts of God, natural disaster, war, terrorism, riot, government action, labour disputes, internet or telecommunications failures, or failures of third-party hosting or infrastructure providers.

You shall indemnify, defend and hold harmless AL Circle Pvt. Ltd., our affiliates and subsidiaries, and each of our respective officers, directors, employees and agents from and against any and all losses, damages, costs and expenses of any kind (including reasonable legal and other fees and costs) incurred or suffered by AL Circle, its affiliates, subsidiaries, officers, directors, employees or agents in relation to any claims, actions or demands arising out of or in connection with:

• your breach of these Terms;
• your use or misuse of the Platform;
• your User Content;
• your violation of any applicable law; or
• your infringement of any intellectual property, privacy or other rights of any third party.

The indemnified party shall promptly notify the indemnifying party of any claim giving rise to an indemnity under this Clause and shall provide reasonable cooperation in the defense or settlement of such claim, at the indemnifying party’s cost, provided that any failure to give prompt notice shall not relieve the indemnifying party of its obligations except to the extent materially prejudiced thereby.

• We may, where reasonably practicable and at our sole discretion and without prior notice, suspend, restrict or terminate your Account or your access to any or all Products if you breach these Terms, if required by law, or to protect the Platform, its users or AL Circle.
• Because access to the Products is provided through a single AL Circle Account, suspension or termination of your Account may result in loss of access to all Products simultaneously. Provisions relating to ownership, User Content licences, disclaimers, limitation of liability, indemnification, governing law and general provisions survive termination.

• These Terms, and all disputes arising out of or in connection with these Terms or your use of the Platform, shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
• The parties shall first attempt to resolve any dispute arising out of or in connection with these Terms through good-faith negotiation. If unresolved within thirty (30) days, either party may refer the dispute to arbitration under the Arbitration and Conciliation Act, 1996, and any statutory modification or re-enactment thereof. The arbitration shall be conducted by a sole arbitrator mutually appointed by the Parties. In the event the Parties fail to mutually agree on the appointment of the sole arbitrator within a reasonable period, the arbitrator shall be appointed in accordance with the provisions of the said Act. The seat and venue of arbitration shall be in Kolkata, India, and the arbitration proceedings shall be conducted in the English language.

Notwithstanding any law to the contrary, any claim or cause of action arising out of or related to these Terms must be filed within 1 (one) year after such claim or cause of action arose, or be forever barred, to the extent permitted by applicable law.

• The electronic records of transactions, confirmations, communications, messages and other documents relating to the Service that are kept, stored or maintained by us shall be conclusive evidence of their contents. You agree that such electronic records, and any copies or computer output of them, are admissible as evidence and shall not be challenged by you as to admissibility, authenticity or accuracy. Your acceptance of these Terms through electronic means (including registration, click-through acceptance, or continued use of the Platform) constitutes a valid and binding electronic signature and agreement, enforceable under the Information Technology Act, 2000, and any equivalent electronic signature or e-commerce legislation applicable in your jurisdiction.
• These Terms constitute the entire agreement between you and us in respect of the Platform and supersede any prior agreements.
• These Terms bind and benefit you and us and our respective successors and assigns. You may not assign your rights or transfer your obligations under these Terms without our prior written consent. We may freely assign our rights or transfer our obligations under these Terms.
• If any part of these Terms is found to be invalid, illegal or unenforceable, that part shall be severed and the remaining provisions shall continue in full force and effect.
• The rights and remedies under these Terms are cumulative and not exclusive of any other right or remedy provided by law or equity.
• No failure or delay by us in exercising any right shall operate as a waiver of that right.
• Except as expressly provided in these Terms, all rights not expressly granted to you are reserved by AL Circle.
• By using the Platform, you consent to receive notices, disclosures, invoices, updates and other communications from AL Circle electronically, including by email, through your Account or by notices posted on the Platform, and such electronic communications shall satisfy any legal requirement that such communications be in writing.
• If you provide AL Circle with any suggestions, ideas, feedback or recommendations relating to the Platform or the Services, you grant AL Circle a perpetual, irrevocable, worldwide, royalty-free right to use, modify and incorporate such feedback without any obligation of attribution or compensation.
